Affiliate Program Terms and Conditions

Introduction

Welcome to the STATE-0 Affiliate Marketing Program! This program is designed to reward our valued affiliates for referring new customers to our products and services. By participating in this program, you agree to comply with these Terms and Conditions. Please read them carefully.

Eligibility

  1. To be eligible for participation in the STATE-0 Affiliate Program, applicants must be 18 years or older and have an active and valid method of payment reception.
  2. STATE-0 reserves the right to approve or reject any application to the Program at its sole discretion.

Independent Contractor Status

  1. Affiliates participate in the Program as independent contractors, not as employees, agents, or partners of STATE-0. Affiliates are solely responsible for their own tax obligations on commissions earned.
  2. Affiliates have no authority to bind STATE-0 to any obligation or enter into agreements on STATE-0's behalf.

Program Participation

  1. Affiliates will receive a unique referral code and/or link to share with potential new customers.
  2. Commissions are earned on qualifying sales directly attributable to the affiliate's referral code or link.
  3. Affiliates are responsible for ensuring their referral and marketing methods comply with all applicable laws and regulations.

Advertising Disclosure (FTC Compliance)

  1. Affiliates must clearly and conspicuously disclose their material connection to STATE-0 in any content promoting STATE-0 using a referral code or link, in accordance with the FTC's Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 CFR Part 255).
  2. Acceptable disclosure includes a clear label such as "#ad" or "#sponsored" stated upfront — not buried in a hashtag block or hidden behind a "more" link.
  3. Affiliates are solely responsible for complying with the advertising and endorsement laws of their jurisdiction and the policies of any platform they use.

Content and Intellectual Property

  1. Affiliates may not alter any brand assets provided by STATE-0 without prior written consent, and must use all promotional materials consistent with STATE-0's brand guidelines, when provided.
  2. By posting content that features STATE-0 products or an affiliate's referral code or link, the affiliate grants STATE-0 a non-exclusive, worldwide, royalty-free license to reproduce, repost, edit, and distribute that content across STATE-0's website, social channels, email marketing, and paid advertising, with attribution to the affiliate where reasonably practicable.
  3. Affiliates represent that they own or have the necessary rights to any content they submit and that it does not infringe the rights of any third party.

Commission and Payments

  1. Commission rates are subject to change at STATE-0's discretion. Affiliates will be notified of any changes.
  2. Qualifying commissions become eligible for payout following a 30-day clearing period, corresponding to STATE-0's standard return and refund window. Commissions on any sale returned, refunded, or canceled within this period will be voided and deducted from the affiliate's balance.
  3. Upon becoming eligible, affiliates will receive an email invitation to set up their payment account, after which cleared commissions may be claimed to the affiliate's linked bank account.
  4. All commissions are subject to review and verification by STATE-0, which may delay or withhold payment while an investigation is conducted, and will void any commissions earned through fraudulent, illegal, or deceptive methods.

Coupon and Deal Sites

  1. Posting on coupon or deal-aggregator websites, such as CouponBird and Honey, is strictly prohibited. Affiliates found to be sharing or allowing their codes to be posted on such sites will be subject to immediate termination from the Program and forfeiture of any pending commissions.
  2. Affiliates are encouraged to report any unauthorized use of their codes to STATE-0 for investigation.

Termination

  1. Either party may terminate the affiliate relationship at any time, for any reason, with written notice.
  2. Upon termination, the affiliate must cease all use of STATE-0 branding, promotional materials, and referral links or codes. Commissions still within the 30-day clearing period at the time of termination remain subject to that period and may be forfeited if the affiliate is terminated for cause.

Indemnification

Affiliates agree to indemnify and hold harmless STATE-0, its officers, and employees from any claims, damages, or expenses (including reasonable attorneys' fees) arising from the affiliate's marketing activities, including false or misleading claims about STATE-0's products, breach of these Terms, or violation of applicable law.

Limitation of Liability

STATE-0 will not be liable for indirect, special, or consequential damages, or any loss of revenue, profits, or data arising in connection with this Agreement or the Affiliate Program, even if we have been advised of the possibility of such damages.

Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of laws principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Los Angeles County, California.

Amendment

STATE-0 reserves the right to update and change these Terms and Conditions from time to time without notice. Continued participation in the Program after such changes shall constitute your consent to such changes.

Agreement

By participating in the STATE-0 Affiliate Marketing Program, you agree to abide by these Terms and Conditions. You understand that violation of any terms may result in the termination of your participation in the Program and forfeiture of any accrued commissions.
